Restaurant & Store Partner Agreement
This Restaurant & Store Partner Agreement ("Agreement") is entered into between Doorhaul LLC ("Doorhaul") and the restaurant, store, or business entity ("Partner") that applies to list its business on the Doorhaul platform. By submitting a partner application or activating your Partner account, you agree to be bound by this Agreement.
1. Platform Access and Listing
Subject to the terms of this Agreement, Doorhaul grants Partner a non-exclusive, non-transferable right to list its business, menu items, and products on the Doorhaul platform for the purpose of receiving and fulfilling delivery orders from customers in Baldwin County and Mobile, Alabama. Doorhaul reserves the right to approve, reject, or remove any Partner listing at its sole discretion.
2. Commission and Fees
Doorhaul charges a commission on each order completed through the Platform. The applicable commission rate is set forth in the Partner's onboarding confirmation email or dashboard. Founding Partners who join during the initial launch period are eligible for a reduced commission rate locked for twelve (12) months from their activation date, after which the standard rate applies.
Doorhaul reserves the right to modify commission rates with thirty (30) days' written notice to Partner. Continued use of the Platform after the effective date of any rate change constitutes acceptance of the new rate.
3. Payouts
Doorhaul will remit Partner's earnings (net of applicable commission and fees) via direct deposit on a weekly basis, provided the Partner's payout account information is current and accurate. Doorhaul is not responsible for delays caused by incorrect banking information or third-party payment processor issues. Minimum payout threshold is $10.00 USD.
4. Partner Responsibilities
Partner agrees to:
- Maintain all required business licenses, health permits, and food handler certifications required by Alabama law and applicable local ordinances
- Prepare all orders accurately and in accordance with the menu items and descriptions listed on the Platform
- Maintain food safety and hygiene standards consistent with applicable health codes
- Keep menu items, prices, and availability current and accurate on the Platform
- Fulfill orders within the estimated preparation time displayed to customers
- Comply with all applicable laws regarding the sale of age-restricted products (alcohol, tobacco/nicotine)
- Respond to customer complaints and refund requests in a timely and professional manner
5. Menu and Pricing
Partner is solely responsible for the accuracy of all menu items, descriptions, allergen information, and pricing listed on the Platform. Doorhaul does not verify menu accuracy. Partner may update menu items and pricing at any time through the Partner dashboard. Prices listed on the Platform must not exceed the prices charged for the same items in the Partner's physical location.
6. Order Acceptance and Cancellation
Partner is expected to accept all orders received through the Platform during the Partner's listed operating hours. If Partner is unable to fulfill an order, Partner must cancel the order promptly through the dashboard. Excessive cancellations or failure to fulfill orders may result in suspension or termination of the Partner's account. Doorhaul reserves the right to issue refunds to customers for cancelled or unfulfilled orders and to charge the applicable amount back to the Partner.
7. Intellectual Property
Partner grants Doorhaul a non-exclusive, royalty-free license to use Partner's name, logo, menu descriptions, and photos for the purpose of displaying Partner's listing on the Platform and in Doorhaul's marketing materials. Partner represents that it owns or has the right to use all content submitted to the Platform and that such content does not infringe any third-party intellectual property rights.
8. Confidentiality
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with this Agreement, including but not limited to commission rates, business terms, and customer data. This obligation survives termination of this Agreement for a period of two (2) years.
9. Indemnification
Partner agrees to indemnify, defend, and hold harmless Doorhaul and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Partner's breach of this Agreement; (b) Partner's negligence or willful misconduct; (c) any food safety or health code violation; (d) Partner's violation of any applicable law; or (e) any claim by a customer arising from the quality, safety, or accuracy of Partner's products.
10. Term and Termination
This Agreement is effective upon Partner's account activation and continues until terminated. Either party may terminate this Agreement at any time with seven (7) days' written notice. Doorhaul may terminate this Agreement immediately for cause, including but not limited to Partner's material breach of this Agreement, violation of applicable law, or conduct that Doorhaul reasonably determines is harmful to customers, Haulers, or the Doorhaul brand. Upon termination, Partner's listing will be removed from the Platform and any outstanding earnings will be paid within 14 business days.
11. Relationship of the Parties
Partner is an independent business and not an employee, agent, or franchisee of Doorhaul. Nothing in this Agreement creates a partnership, joint venture, or employment relationship between the parties. Partner is solely responsible for its own business operations, employees, and compliance with applicable law.
12. Governing Law
This Agreement shall be governed by the laws of the State of Alabama. Any disputes shall be resolved in accordance with the dispute resolution provisions set forth in Doorhaul's Terms of Service.
